Terms of Service

These Terms of Service ("Terms") govern your use of OmniVocal (omnivocal.io), a developer publishing platform operated by Zero Ops Oy (Zero Ops Ltd), Business ID 3606514-8, incorporated in Finland. By creating an account or using OmniVocal you agree to be bound by these Terms.
EU / EEA / Finnish Consumers: Where applicable law in your country of residence grants you mandatory consumer rights that cannot be excluded by contract, nothing in these Terms limits those rights. The Finnish Consumer Protection Act (Kuluttajansuojalaki 38/1978) and EU Consumer Rights Directive (2011/83/EU) apply to you in full.

2. The Service

OmniVocal is a developer publishing platform that enables you to draft, schedule, and distribute your original written content (articles, changelogs, release notes, blog posts) across multiple publishing platforms from a single interface or API. OmniVocal provides API integrations and developer publishing utilities for cross-posting technical content to connected platforms. It is a developer tool designed for distributing original content — not a social media marketing automation tool, an engagement-optimisation service, or a follower-acquisition service.

3. Eligibility

To use OmniVocal you must:

  • Be at least 16 years of age (or have documented parental/guardian consent if aged 13–15 in a jurisdiction where national law permits a lower GDPR consent age).
  • Have the legal capacity to enter into a binding contract in your jurisdiction.
  • Not be barred from receiving services under applicable law, including applicable sanctions regulations.

If you use OmniVocal on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

4. Account Registration and Security

You must create an account to use OmniVocal. You agree to:

  • Provide accurate, current, and complete registration information.
  • Keep your credentials confidential and not share them with any third party.
  • Notify us immediately at [email protected] if you become aware of any unauthorised access to your account.

You are responsible for all activity that occurs under your account.

5. License Grant and Restrictions

5.1 License to You

Subject to your compliance with these Terms and payment of applicable fees, Zero Ops Oy grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use OmniVocal for your internal business or personal purposes.

5.2 Restrictions

You must not:

  • Copy, modify, distribute, sell, or create derivative works of OmniVocal or its underlying software.
  • Reverse engineer, decompile, or attempt to derive the source code of any proprietary component.
  • Access OmniVocal by automated means except through our published APIs and within published rate limits.
  • Circumvent any access controls, authentication mechanisms, or rate limits.
  • Use OmniVocal to publish content to third-party platforms in violation of those platforms' terms of service.
  • Use OmniVocal to distribute spam, disinformation, CSAM, or any material that infringes third-party rights.
  • Use OmniVocal to artificially inflate engagement metrics (likes, views, followers, clicks) on any platform.
  • Resell or provide access to OmniVocal as a standalone competing product without prior written consent.

6. User Content and Intellectual Property

6.1 Your Content

You retain all intellectual property rights in content you create and publish through OmniVocal. By submitting content to OmniVocal, you grant Zero Ops Oy a limited, non-exclusive, royalty-free licence to store, process, and transmit that content solely to the extent necessary to deliver the Service to you. This licence terminates when you delete the content or close your account.

We will not use your content to train AI models without your explicit, separate, freely-given, and revocable opt-in consent. Such consent is never a condition of accessing the Service.

6.2 Platform Connections

By connecting third-party publishing accounts (such as GitHub, Bluesky, dev.to, Medium, Hashnode, Ghost, Slack, Discord, Brevo, or Telegram) to OmniVocal, you represent that: (a) you have authority to publish content to those accounts; and (b) you authorise OmniVocal API access on your behalf. You are solely responsible for all content published to third-party platforms via OmniVocal.

6.3 Our Intellectual Property

Zero Ops Oy and its licensors own all rights, title, and interest in OmniVocal, including all software, designs, trademarks, and documentation. Nothing in these Terms transfers any intellectual property rights to you beyond the limited licence in Section 5.1.

7. Prohibited Conduct

You agree not to use OmniVocal to:

  • Violate any applicable law or regulation, including export control, sanctions, anti-money laundering, or data protection laws.
  • Infringe any third party's intellectual property, privacy, or contractual rights.
  • Harass, threaten, defame, or harm any person.
  • Generate or distribute disinformation or deliberately false factual claims intended to deceive the public.
  • Impersonate any real, living individual or misrepresent your affiliation with any person or entity.
  • Generate or distribute content involving the sexual exploitation of minors (CSAM).
  • Engage in phishing, spoofing, or other fraudulent activities.

8. Subscriptions, Billing, and Cancellation

8.1 Merchant of Record

Our order process is conducted by our online reseller and Merchant of Record, Paddle.com Market Ltd ("Paddle"). Paddle handles all payment processing, tax collection, and customer service inquiries related to billing and returns. When you purchase a subscription, your billing relationship is with Paddle, not directly with Zero Ops Oy. Paddle's own terms of service and privacy policy apply to payment processing.

8.2 Subscription Plans and Pricing

Current pricing for OmniVocal is published on omnivocal.io/#pricing. Prices are displayed inclusive of applicable VAT where required by law. We reserve the right to change prices; changes will take effect at your next billing renewal cycle following 30 days' written notice.

8.3 Auto-Renewal

Subscriptions renew automatically at the end of each billing period (monthly or annually as selected) unless you cancel before the renewal date. By subscribing, you authorise Paddle to charge your payment method on file for the renewal amount. You will receive a reminder email before each annual renewal.

8.4 How to Cancel

You can cancel your subscription at any time, directly through your account dashboard at dashboard.omnivocal.io (Settings → Billing → Cancel subscription) or by contacting us at [email protected]. Your access will remain active until the end of the current paid billing cycle. Cancellation takes effect at the next renewal date; you will not be charged again after cancellation.

8.5 Right of Withdrawal for EU/EEA Consumers

If you are a Consumer in the EU or EEA, you have a statutory right to withdraw from a distance contract for a digital service within 14 days of concluding the contract, without giving any reason, pursuant to the EU Consumer Rights Directive (2011/83/EU) and the Finnish Consumer Protection Act Ch. 6.

If you expressly request that the service commence during the withdrawal period and acknowledge that you will lose the right of withdrawal once the service has commenced, the right of withdrawal is extinguished upon commencement of the subscription. This acknowledgement will be presented at subscription initiation before payment is taken.

To exercise your right of withdrawal within the 14-day window (where not waived), email [email protected] with the subject line "Right of Withdrawal" and your account email address.

8.6 Refund Policy

All refund requests are handled by Paddle as Merchant of Record. To request a refund, contact Paddle Support at paddle.com/contact, or email us at [email protected] and we will assist.

  • Statutory withdrawal (EU/EEA/UK Consumers). If you have not waived your right of withdrawal and your subscription has not been fully performed, you are entitled to a full refund within the 14-day withdrawal window. See Section 8.5.
  • Discretionary refunds. Outside of statutory rights, subscription fees are generally non-refundable once a billing cycle has commenced. We may issue credits or pro-rated refunds on a case-by-case basis — for example, in the event of a verified extended service outage.
  • Annual plan cancellations. Pro-rated refunds for annual plans cancelled mid-term are not provided except where required by applicable law.

8.7 Free Trial

OmniVocal offers a 14-day free trial with full access to the paid plan features. No credit card is required to start the trial. At the end of the trial period, access to paid features will cease unless you subscribe. You will not be charged automatically at the end of a free trial.

8.8 Free Tier

A free tier is available at our discretion. Free tier access may be modified or discontinued with 30 days' notice. The free tier does not create a contractual entitlement to continued free access.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that results obtained from using the Service will be accurate or reliable. Third-party platform API availability is outside our control; we cannot guarantee uninterrupted connectivity to connected platforms.

Consumer note: Nothing in this Section limits any mandatory statutory warranties or guarantees that apply under Finnish law or the law of your country of residence as a Consumer.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZERO OPS OY'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF: (A) THE TOTAL SUBSCRIPTION FEES PAID IN CONNECTION WITH YOUR OMNIVOCAL SUBSCRIPTION IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM (REGARDLESS OF WHETHER THOSE PAYMENTS WERE PROCESSED BY PADDLE AS MERCHANT OF RECORD); OR (B) EUR 100.

IN NO EVENT WILL ZERO OPS OY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION.

Mandatory exceptions: The limitations above do not apply to (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be excluded under applicable law, including mandatory consumer protection rights under Finnish law.

11. Dispute Resolution

11.1 Informal Resolution

Before initiating formal proceedings, contact us at [email protected] and give us 30 days to resolve the matter informally.

11.2 Consumer Out-of-Court Resolution (EU/EEA)

If you are a Consumer in the EU/EEA and the dispute is not resolved informally, you may submit a complaint to the Finnish Consumer Disputes Board (Kuluttajariitalautakunta), PO Box 306, 00531 Helsinki, Finland, kuluttajariita.fi. You may also use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr. Our ODR contact email is [email protected].

12. Governing Law and Venue

These Terms are governed by the laws of Finland, without regard to conflict of law provisions. Disputes not resolved informally or through consumer dispute procedures will be submitted to the exclusive jurisdiction of the Helsinki District Court (Helsingin käräjäoikeus).

Consumer exception: If you are a Consumer, the mandatory consumer protection laws of your country of habitual residence apply and you may bring proceedings in the courts of that country.

13. Changes to These Terms

We may update these Terms at any time. We will provide at least 30 days' notice of material changes by email or via a prominent notice on OmniVocal before the change takes effect. Continued use after the notice period constitutes acceptance of the updated Terms. If you do not agree, you may terminate your account before the change takes effect.

14. Termination

By you: You may close your account at any time via account settings or by emailing [email protected].

By us: We may suspend or terminate your account immediately if you materially breach these Terms, or if we are required to do so by law. Where feasible, we will give you prior notice and an opportunity to remedy the breach.

Upon termination, all licences granted to you cease immediately. Account data will be deleted in accordance with our Privacy Policy.

Survival. The following Sections survive termination of these Terms for any reason: Section 6.3 (Our Intellectual Property), Section 7 (Prohibited Conduct), Section 9 (Disclaimer of Warranties), Section 10 (Limitation of Liability), Section 11 (Dispute Resolution), Section 12 (Governing Law and Venue), and Section 15 (General Provisions).

15. General Provisions

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force. Our failure to enforce any provision is not a waiver of our right to do so in the future. These Terms constitute the entire agreement between you and Zero Ops Oy with respect to your use of OmniVocal. Our Privacy Policy is incorporated by reference solely for the purpose of describing our data processing practices; it is a statutory disclosure, not a contractual instrument, and in the event of any conflict between it and these Terms on a non-data-protection matter, these Terms govern.
